The key differences between an LLC and the Corporation

The corporation is the traditional business entity choice, as it has existed for hundreds years. The limited liability company, better known as the LLC, a business entity has been accepted in most states of the United States for almost 20 years. In this article, we look at the basic differences between the two as a matter of practicality.

Let's start with the most basic things – Held by each entity? The Corporation is a "person" for legal purposes. That said, someone has to own it. This property is expressed through the acquisition shares. Stocks represent an ownership position in some company and pay the owner, known as one of the shareholders, certain rights. Small businesses may have a few thousand shares in the hands of a few people, while large publicly traded companies like Google have millions of shares are actively traded on the NASDAQ stock market.

Limited liability company owned handled differently. There are no actions and therefore there are no shareholders. Instead, ownership of an LLC is expressed as a percentage of total property available. In some states, is called a unit interest. Anyway, this seems to suggest that owners of those interests would interestholders. They are not. The owners of interest in limited liability companies are called members. Limited liability company can not be the same as corporations publicly traded and there is simply no action to change.

The LLC is a business entity really very strange. The equivalent of the statutes social arrangement is called an operation. In many states, it is not necessary! The LLC can be more in charge of all the members in which case a member is called management company or a single person called a manager. No officers or board members has caused a lot of confusion when it comes time to sign contracts and stuff. As a result, most states have added laws that allow the LLC to have a President, Vice President, Treasurer and so on!

Finally, CLL is often marketed on the claim that the formalities of enterprises do not have to be followed when using it. This is generally true, but do not follow many of the procedures is asking a lot of problems. Everything important should be put in writing because it will create a log of what happened. This means you must keep minutes for the company. If this is not done and a conflict erupts between members, there is no real way of knowing who is right. In disputes, the parties end up winning only one that really are lawyers. I say this as a lawyer!

The LLC has certainly carved out a position as a viable business entity in the business world today. If you decide to form one, be absolutely sure you understand how it works and how to run one.
